Quotes & Invoices Policy

These terms apply to every quote and invoice issued by Black Treacle UK Limited ("Black Treacle", "we", "us"), company number 11896830. We work with businesses only, so these terms apply to business customers ("you").
1. Quotes
1.1 Quotes are valid for 7 days from the date issued. After that, prices and availability may change and we may need to re-quote.
1.2 A quote is based on the information, drawings and specification you give us at the time. If these change, the price may change (see section 5).
1.3 Unless stated otherwise, all prices are in pounds sterling and exclude VAT, which is added at the current rate.
1.4 A quote becomes a binding agreement when you accept it in writing (including by email) or issue a purchase order against it.
2. Deposits
2.1 We reserve the right to ask for a deposit of up to 50% of the quoted value before starting any work, ordering materials or booking production.
2.2 Where a deposit is requested, work will not begin until it has been received in cleared funds.
2.3 The deposit will be shown on the final invoice and deducted from the balance due.
3. Payment terms
3.1 Invoices are due on receipt, unless we have agreed in writing to extended terms of up to 30 days from the invoice date.
3.2 Payment should be made by bank transfer to the account shown on the invoice, quoting the invoice number.
3.3 We will never change our bank details by email alone. If you receive a request to pay a different account, call us on 07487 738245 to verify it before paying.
4. Late payment
4.1 If an invoice is not paid by its due date, we reserve the right, at any time and at our discretion, to claim statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
4.2 Statutory interest is charged at 8% a year above the Bank of England base rate, calculated daily from the day after the due date until payment is received.
4.3 We may also claim fixed compensation for each late invoice:

4.4 We may also recover any reasonable further costs of collecting the debt.
4.5 We may pause work, deliveries or installation on any of your projects while an invoice is overdue.
5. Changes to scope
5.1 Any change to the agreed specification, quantities, dates, site conditions or access after acceptance is a variation.
5.2 We will tell you the cost and time impact of a variation before carrying it out. Variations are charged in addition to the original quote.
5.3 Extra costs caused by delays, incorrect information or site issues outside our control will also be charged as a variation.
6. Ownership of goods
6.1 All goods we supply remain the property of Black Treacle until the related invoice has been paid in full.
6.2 Risk in the goods passes to you on delivery or installation, so you are responsible for insuring them from that point.
6.3 Until payment is received, we may recover the goods, and you agree to give us reasonable access to do so.
7. Cancellation
7.1 If you cancel an accepted quote, you must pay for all work carried out and all costs we have committed to up to the date of cancellation. This includes design time, materials, production, couriers and any non-refundable third-party costs.
7.2 Deposits are non-refundable once materials have been ordered or production has started.
7.3 Bespoke and custom-made items cannot be cancelled once production has begun.
8. Disputes
8.1 Please raise any query about an invoice in writing within 7 days of receiving it.
8.2 Any part of an invoice that is not in dispute must still be paid by the due date.
9. Law
9.1 These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
